Each Member State shall apply this Directive to the following:
(a) mergers, divisions, partial divisions, transfers of assets and exchanges of shares involving companies from two or more Member States;
(b) transfers of the registered office from one Member State to another Member State of a European company (Societas Europaea or SE), as established in Council Regulation (EC) No 2157/2001 on the Statute for a European company (SE) [OJ L 294, 10.11.2001, p. 1.], and a European Cooperative Society (SCE), as established in Council Regulation (EC) No 1435/2003 on the Statute for a European Cooperative Society (SCE) [OJ L 207, 18.8.2003, p. 1.].
