Annex 1 Statement of Responsibility

The Statement of Responsibility should take the form of a formal letter, addressed to the Central Bank, on the company’s headed paper, signed by the Chairman of the company and incorporating the following wording.

As at ………………….. [Initially this date will refer to the date of authorisation of the Company by the Central Bank and thereafter to the date of any changes in the composition of the Board and/or to the allocation of responsibilities of the designated persons.] the Board of Directors of the Company hereby accept collective responsibility for managing the affairs of the Company in accordance with the Company's constitution and [the European Communities (UCITS) Regulations 2011, ("the UCITS Regulations") ]/ the European Union (AIFM) Regulations 2013, ("the AIFM Regulations").

In accordance with [Regulation 101(1)(a) of the Central Bank UCITS Regulations]/[paragraph 2 of the section headed "Organisational requirements" in the AIFM Requirements chapter of the AIF Rulebook], the following "designated persons" of the Company accept responsibility for the day-to-day monitoring and control of the management functions (as detailed below) and associated procedures.
