24.0 Nomination Committee

24.1 Where a Nomination Committee has been established, the number of members of the Committee will depend on the size of the institution, but the majority of members of the Committee shall be independent non-executive directors.

24.2 The Nomination Committee shall make recommendations to the board on all new appointments of both executive and non-executive directors.

24.3 In considering appointments the Nomination Committee shall prepare a comprehensive job description, taking into account for board appointments, the existing skills and expertise of the board and the anticipated time commitment required.

24.4 The Nomination Committee shall be involved in succession planning for the board, bearing in mind the future demands on the business and the existing level of skills and expertise.
