Regulation 21 Circumstances in which proposed acquisition may be concluded

(1) The proposed acquirer may conclude a proposed acquisition only where -

(a) the proposed acquirer has notified the Bank of the acquisition in accordance with paragraph (1) or (2) of Regulation 10,

(b) the Bank has acknowledged that notification, in accordance with Regulation 14(1), and

(c) either -

(i) the assessment period in relation to the acquisition has ended and the ECB has not notified the proposed acquirer that it opposes the acquisition, or

(ii) the ECB has notified the proposed acquirer that it does not oppose the acquisition.

(2) Where an acquisition is made other than in accordance with paragraph (1) any exercise of voting rights based on the acquisition of the holding concerned is suspended.
